Contents


The lecture is thematically divided into six parts: After an introduction to corporate governance in general and the underlying theories, the mechanisms of the supervisory board, general meeting/shareholders, and management board/remuneration systems are examined one after the other. Subsequently, a special focus is placed on current challenges and developments in the field of corporate governance, supported by the inclusion of practical examples. The sixth part concludes with the topic of corporate governance and sustainability. The goals of the exercise are to review and deepen the content of the lecture. Students have the opportunity to gain an in-depth understanding of the topics by solving practical examples and exercises. The focus of the exercise is on the following four subject areas: characteristics and tasks of the supervisory board, basics regarding owners and ownership structures and their influence on corporate decisions, management board structures in theory and their practical classification, as well as the evaluation and assessment of different remuneration systems.

  • Examination Modalities




    • The lecture and tutorial cover the various corporate governance mechanisms of companies, as well as their interactions with each other.

    • Practical examples can be used to illustrate and argue with theories.

    • Application tasks also require the ability to analyze the impact of corporate governance on corporate management and performance.

    • Overall, proof of knowledge of the various mechanisms of corporate governance and the achievement of learning objectives is required.
